UNICEF’s General Terms and Conditions of Contract for Goods and Services.

Suppliers are requested to review these General Terms and Conditions (GTC) of Contract for Goods and for Services.
UNICEF’s General Terms and Conditions of Contract received some minor updates on 10 March 2025. Therefore, from this date onwards, Purchase Orders, Service Contracts, Long Term Agreements (LTAs) and tender documents include these updated General Terms and Conditions of Contract.
Both the updated (on 10 March 2025) and the previous General Terms and Conditions of Contract are available on this page.
The changes are explained below:
For Goods and Services GTCs – March 2025 minor updates:
- There are no changes to Article numbers from the earlier version.
- Minor clarification in the definition of Confidential Information.
- Replacing outdated references to UNICEF’s Policy on the Protection and Safeguarding of Children with reference to UNICEF’s Policy on Safeguarding (as updated from time to time).
- Updating the dispute resolution clause (Article 9.3) to clarify the seat of arbitration, arbitration language and replacing reference to the now defunct London Inter-Bank Offered Rate with reference to the United States Federal Reserve Bank of New York’s Secured Overnight Financing Rate (SOFR).
- Minor clarification in Article 5.4 to refer it back to Article 5.3 (the Article relates to disclosure of information).
For Goods GTCs only – March 2025 minor updates:
- A clarification in the fourth sentence of Article 2.1 concerning delivery of Goods to Consignees if different to UNICEF.
- A correction to the sub-Article number at the end of Article 11.4(e).
